Client Responsibilities:

Confidentiality and Data Protection:

Intellectual Property:

b. Clients are granted a non-exclusive, non-transferable license to use the deliverables solely for their internal compliance purposes.


Limitation of Liability:

a. The Consultancy and its employees, agents, or affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or relating to the use of our services or the information provided.

b. The Consultancy's liability shall be limited to the extent permitted by applicable law and shall not exceed the fees paid by the client for the specific services rendered.


Compliance with Laws and Regulations:

a. Clients shall ensure compliance with all applicable laws, regulations, and industry standards relevant to their business operations.

b. The Consultancy shall provide guidance and recommendations based on its understanding of applicable laws, but it is the client's responsibility to seek legal advice for specific legal interpretations.



a. Either party may terminate the engagement by providing written notice to the other party.

b. Upon termination, clients shall cease using any deliverables provided by the Consultancy and return any materials or confidential information received.


Dispute Resolution:

a. Any disputes arising from or relating to these Terms or the Consultancy's services shall be resolved through good faith negotiations between the parties.

b. If the parties are unable to reach a resolution, the dispute shall be submitted to mediation or arbitration in accordance with applicable laws and regulations.


Governing Law and Jurisdiction:

a. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where the Consultancy is based.

b. Any legal actions or proceedings arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

a. Clients agree to indemnify and hold harmless the Consultancy and its employees, agents, or affiliates from any claims, liabilities, losses, or expenses arising out of or relating to the client's use of the Consultancy's services or any violation of these Terms.


Force Majeure:

a. The Consultancy shall not be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, and government actions.


Entire Agreement:

a. These Terms constitute the entire agreement between the Consultancy and the clients or users regarding the use of our website and services, and they supersede any prior agreements or understandings, whether oral or written.

a. Any notices or communications required or permitted under these Terms shall be in writing and sent to the contact information provided by the parties.



a. The provisions of these Terms that, by their nature, should survive termination or expiration, shall survive, including but not limited to confidentiality, intellectual property, limitation of liability, and dispute resolution.

Third-Party Beneficiaries:

a. These Terms do not confer any rights or benefits to any third parties unless expressly stated.

Compliance with Export Laws:

a. Clients shall comply with all applicable export control laws and regulations in relation to the use of the Consultancy's services.

Professional Conduct:

a. Clients agree to act in a professional manner and to refrain from engaging in any conduct that may damage the reputation or integrity of the Consultancy.

Client Feedback and Testimonials:

a. Clients may provide feedback or testimonials regarding their experience with the Consultancy, which may be used for marketing or promotional purposes, unless otherwise specified in writing.



a. During the term of the engagement and for a period of [X] years following its termination, clients shall not directly or indirectly solicit or hire any employees or contractors of the Consultancy without the Consultancy's prior written consent.

Successors and Assigns:
